1. Acceptance of Terms

By accessing and using Cyndr ("the Service"), you accept and agree to be bound by the terms and provision of this agreement. If you do not agree to abide by the above, please do not use this service.

2. Description of Service

Cyndr is a construction lead management platform that provides tools and services for construction professionals to:

  • Manage projects, contacts, and leads
  • Create and send estimates and change orders
  • Collect electronic signatures on documents
  • Track project progress and payments
  • Manage line items, subcontractors, and project documentation

3. Electronic Signatures

By using our electronic signature feature, you acknowledge that:

  • Electronic signatures have the same legal effect as handwritten signatures
  • Your name and email address will be visible to others with access to the signed documents
  • You are authorized to sign on behalf of yourself or the entity you represent
  • You understand that signed documents are legally binding
  • You consent to the use of electronic signatures in lieu of physical signatures

4. User Accounts and Responsibilities

You are responsible for:

  • Maintaining the confidentiality of your account credentials
  • All activities that occur under your account
  • Providing accurate and complete information when creating estimates, change orders, and other documents
  • Ensuring that all information you provide complies with applicable laws and regulations
  • Not using the Service for any illegal or unauthorized purpose

5. Payment Terms

If you use payment processing features:

  • Payment processing is handled by third-party payment processors (e.g., Stripe and Intuit QuickBooks Payments)
  • You agree to comply with the terms and conditions of the payment processor
  • Card and bank details are entered directly on the processor's secure hosted pages and are never stored on Cyndr's servers
  • All payment transactions are subject to the payment processor's fees and policies
  • We are not responsible for payment processing errors or disputes
  • Refunds are subject to the policies of the payment processor and applicable laws

5a. QuickBooks Online Integration

If your organization connects a QuickBooks Online account to collect payments:

  • You authorize Cyndr to access your QuickBooks company to create customers and invoices and to read invoice payment status on your behalf, solely to bill and reconcile payments
  • You represent that you are authorized to connect that QuickBooks account and to enable these actions
  • Your use of QuickBooks remains governed by your agreement with Intuit; Cyndr is not affiliated with or endorsed by Intuit
  • You may disconnect QuickBooks at any time from your organization settings or from within QuickBooks, which revokes Cyndr's access
  • Cyndr's access to and use of information received from Intuit APIs adheres to the Intuit Developer Services Agreement and applicable API rules

6. Data and Privacy

Your use of the Service is also governed by our Privacy Policy. By using the Service, you consent to:

  • The collection, use, and storage of your data as described in our Privacy Policy
  • The sharing of your name and email address with parties who have access to signed documents
  • Data being stored on our servers and third-party service providers

7. Intellectual Property

All content, features, and functionality of the Service, including but not limited to text, graphics, logos, and software, are the property of Cyndr or its licensors and are protected by copyright, trademark, and other intellectual property laws.

8. Limitation of Liability

To the fullest extent permitted by law:

  • Cyndr provides the Service "as is" without warranties of any kind
  • We are not liable for any indirect, incidental, special, or consequential damages
  • We are not responsible for errors or omissions in documents created through the Service
  • You are solely responsible for verifying the accuracy of all documents before signing
  • We are not liable for any disputes arising from signed documents or payment transactions

9. Indemnification

You agree to indemnify and hold harmless Cyndr, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from your use of the Service or violation of these Terms.

10. Termination

We reserve the right to:

  • Terminate or suspend your account at any time for violation of these Terms
  • Modify or discontinue the Service at any time
  • Delete your account and data in accordance with our data retention policies

11. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify users of material changes by posting the updated Terms on this page with a new "Last updated" date. Your continued use of the Service after such changes constitutes acceptance of the modified Terms.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which Cyndr operates, without regard to its conflict of law provisions.
